Netherlands

Treaty-network heavyweight for holding companies and European headquarters.

Netherlands silhouette
Overview

The Dutch BV remains one of the most treaty-connected holding vehicles in the world, with a participation exemption that fully relieves qualifying dividends and capital gains, and an advance-ruling practice that gives certainty before you commit. For inbound investment into Europe and for outbound investment from Europe into emerging markets, the Netherlands is a workhorse.

The days of the Dutch sandwich are over. Anti-abuse rules, conditional withholding tax on payments to low-tax jurisdictions and rigorous substance requirements mean a Dutch entity now has to be real. That is precisely why it still works.

Typical use-cases

Where Netherlands fits

  • Holding BVs
  • European HQ
  • Royalty and finance flows
Banking

Banking landscape

ING, ABN AMRO and Rabobank serve corporate clients, joined by a strong bench of Dutch payment institutions. Onboarding is thorough and slow, typically four to eight weeks, and strongly favours structures with a Dutch-resident director and a local office. Fintech alternatives cover the interim period.

Tax

Tax & reporting

25.8% corporate tax above EUR 200,000 profit, 19% below. The participation exemption relieves dividends and capital gains on qualifying 5%+ shareholdings entirely. Innovation box gives 9% on qualifying IP income. Conditional 25.8% withholding tax applies to interest and royalties paid to low-tax or blacklisted jurisdictions.

Substance

Substance & register visibility

Dutch substance requirements are codified — local board majority, Dutch bank account, qualified personnel, adequate equity relative to functions and real office costs. Failing them puts treaty and directive benefits at risk. UBO information is filed to the Chamber of Commerce register, with access restricted to competent authorities and legitimate-interest parties.

Decision

When to pick this jurisdiction

Pick the Netherlands when treaty access and the participation exemption drive the structure, when you want an advance tax ruling for certainty, or when a genuine European headquarters with staff is part of the plan.

The director's view

Written up as a comparative shortlist.

Every Netherlands recommendation is delivered as a comparative memorandum — substance defensibility, banking access, treaty coverage, register visibility, cost to maintain and reputational risk — so the client can see the trade-offs before committing.

Frequently asked

Questions we hear on every Netherlands intake.

Is a Dutch BV still useful after anti-abuse rules?
Yes, for genuine holding and headquarters functions with real substance. It is no longer useful as a conduit for routing royalties to zero-tax jurisdictions.
Can I get an advance tax ruling?
Yes. The Dutch tax authority still issues advance pricing agreements and advance tax rulings, subject to substance requirements and publication of an anonymised summary.
What is the minimum capital for a BV?
EUR 0.01. There is no meaningful minimum capital requirement, though banks and counterparties expect capitalisation appropriate to the activity.
